Three Engagement Structures
Each engagement is scoped to where you are in the process. We do not offer a single fixed service — the work takes the form that is most useful for your situation.
Transaction Readiness Review
A focused engagement for founders, family shareholders, and leadership teams considering a sale, capital raise, or meaningful acquisition over the coming twelve to twenty-four months. The review looks at financial documentation, corporate governance, and operational readiness, returning a short written memorandum with observations and questions for the shareholder group.
- — Financial documentation review
- — Corporate governance assessment
- — Written preparatory memorandum
Target Evaluation Engagement
A six-to-eight-week engagement for buyers evaluating a specific target company or shortlist. The work includes commercial due-diligence support, a considered review of the target's market position and operating quality, and a written evaluation document covering strengths, concerns, and integration considerations.
- — Commercial due-diligence support
- — Weekly working sessions
- — Written evaluation document
Transaction Advisory Partnership
A six-to-nine-month partnership for a specific transaction — a sale, an acquisition, or a capital event of material significance. Includes support for preparation, materials, diligence management, negotiation preparation, and quiet advisory presence through signing and close.
- — Full transaction lifecycle support
- — Negotiation preparation
- — Diligence management
A transaction is not a campaign. It is a considered decision.
Nakhon Peak does not advocate for deals. We work alongside our clients to clarify what a transaction may mean for them — and what preparation might look like before a formal process begins. If the conditions seem right, we may be able to provide useful support.
"The work we do is preparatory and reflective, not promotional. A well-considered transaction, for the right reasons, at the right time — that is what we hope to support."
Begin a ConversationQuestions about the advisory process
What kind of clients does Nakhon Peak typically work with?
We work with founders, family shareholders, and leadership teams who are thinking about a transaction — a sale, an acquisition, or a capital event — over a one-to-three year horizon. Our clients tend to be in Thailand or the broader Southeast Asia region, and often prefer a quieter, more considered process than a large investment bank would typically offer.
How does the Transaction Readiness Review differ from a formal M&A mandate?
The Readiness Review is a preparatory conversation — not a commitment to proceed. It does not assume a transaction is the right outcome. The intent is to look clearly at where the business stands, raise questions the shareholder group should be thinking about, and return a short memorandum. A formal advisory mandate would come later, if a transaction appears to be a reasonable direction.
Do you work alongside existing legal and financial advisors?
Yes. In the Transaction Advisory Partnership, our role is to work alongside existing legal counsel, financial advisors, and accountants — not to replace them. We focus on the advisory and judgement dimensions of a transaction: commercial framing, negotiation preparation, and keeping the shareholder group informed and oriented throughout the process.
What is the typical timeline for the Target Evaluation Engagement?
The Target Evaluation Engagement typically runs six to eight weeks. We hold weekly working sessions with the client's corporate development team, circulate interim drafts for review, and return a final written evaluation document. The scope can be adjusted depending on the number of targets and the complexity of the evaluation.
How are fees structured, and what is included?
Each engagement has a fixed scope and a stated fee in Thai Baht — ฿12,500 for the Readiness Review, ฿41,500 for the Target Evaluation, and ฿70,200 for the Transaction Advisory Partnership. Fees are quoted clearly at the start and do not change mid-engagement without mutual agreement. Additional expenses, if any, are discussed in advance.
